VOXHEAD NON-COMMERCIAL LICENSE AGREEMENT

This Non-Commercial License Agreement (“Agreement”) is made and entered into by and between Fluidbase Systems, LLC. -d/b/a VoxHead Laboratories (“Licensor”), and the individual or entity (“Licensee”) who downloads, accesses, or otherwise uses the copyrighted material, including but not limited to digital 3D print .stl files, instruction files, reference images, assembly videos, and any other provided materials (“Files”) for producing VoxHead™ robots. By downloading, using or otherwise possessing the Files, the Licensee agrees to the following terms:

1. Grant of License
   Licensor grants the Licensee a limited, non-exclusive, non-transferable, and revocable license to use the Files solely for personal, non-commercial purposes.
   
2. Restrictions
   a. Licensee shall not share, distribute, sublicense, or otherwise make the Files available to any third party.
   b. Licensee shall not use the Files or any derivative works based on the Files to manufacture, sell, or distribute robots or robot components without the express written permission of Licensor.
   c. Licensee shall not sell, license, or otherwise distribute software for any robots based on the Files without the express written permission of Licensor.
   d. Licensee shall not use the Files for any commercial purpose, including but not limited to manufacturing products for sale, prototyping for commercial projects, or integrating them into any commercial venture.
   
3. Ownership and No Joint Venture
   The Files and all intellectual property rights therein remain the sole property of Licensor. Licensee acquires no ownership or intellectual property rights other than the limited license granted herein. Use of the Files for personal purposes does not create any employee, partnership, or joint venture between the Licensor and Licensee.
   
4. Enforcement & Penalties
   Any violation of this Agreement shall result in the immediate termination of this license. Furthermore, Licensee agrees that any breach of Section 2 shall be subject to liquidated damages of up to $100,000 USD per violation, in addition to any other legal remedies available to Licensor.
   
5. Disclaimer of Warranties
   The Files are provided “as is” without warranty of any kind. Licensor makes no guarantees regarding the accuracy, safety, or performance of the Files, merchantability, or their fitness for any specific purpose. By downloading or otherwise using the Files, you understand you assume any risk for the 3D prints produced using the files and the Licensor disclaims any and all representations and warranties, express or implied, to the fullest extent allowed by law.
   
6. Limitation of Liability
   In no event shall Licensor be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profit, or loss of data, arising out of Licensee’s use or inability to use the Files. Licensee shall indemnify and hold harmless Licensor, its officers, employees and agents, from any and all claims, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) arising from Licensees use or inability to use the Files.
   
7. Governing Law
   This Agreement shall be governed by and construed in accordance with the copyright and intellectual property laws of the United States of America and the State of Indiana, as applicable, without regard to principles of conflict of laws. By downloading and using the Files in any way, you consent to Jurisdiction in the United States, in the State of Indiana.
   
8. Entire Agreement
   This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings, whether written or oral.
   
9. License Updates
   From time-to-time, this Licensee agreement may be modified or revised by the Licensor. Any changes will be posted to this URL (voxheadlabs.com) and shall become binding on the Licensee upon posting and notification to the Website.

By downloading, accessing, or using the Files, Licensee acknowledges that they have read, understood, and agreed to the terms of this Agreement.
